1. Agreement to Terms

By accessing or using AIMgr ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

AIMgr is a product of SD75 ehf, an Icelandic limited liability company (kennitala: 480922-1150) ("we," "us," or "our"). These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AIMgr is an AI-powered workspace that helps professionals organize knowledge, write with AI assistance, and manage creative projects. The Service includes:

• Project management and organization tools
• Knowledge base creation and management
• AI-assisted writing and content generation
• Asset management (images, documents, files)
• Canvas editor for document creation
• Export functionality to various formats

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to terminate or suspend your account at any time for any reason, including violation of these Terms. You may terminate your account at any time through account settings.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Generate illegal, harmful, or offensive content
• Attempt to gain unauthorized access to systems
• Interfere with the proper functioning of the Service
• Circumvent usage limits or restrictions

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you create, upload, or store in the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

5.2 AI-Generated Content

Content generated by our AI features is created based on your inputs and context. You own the AI-generated content you create using the Service, subject to any applicable third-party terms.

5.3 Our Content

The Service and its original content (excluding Your Content), features, and functionality are owned by AIMgr and are protected by international copyright, trademark, and other intellectual property laws.

6. Privacy and Data

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• Your content is not used to train AI models
• Projects are isolated and private by default
• You can export or delete your data at any time

7. Subscription and Payment

7.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have usage limits as described on our Pricing page. Paid plans provide expanded or unlimited access to features.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed through our payment partner, Paddle. By subscribing, you agree to Paddle's terms of service.

7.3 Refunds

We offer a 14-day refund policy for paid subscriptions. If you're not satisfied, contact us within 14 days of your initial payment for a full refund. Refunds for subsequent billing periods are provided at our discretion.

7.4 Price Changes

We reserve the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance with advance notice when possible
• Make changes to features and functionality
• Discontinue features with reasonable notice

9. Limitation of Liability

To the maximum extent permitted by law, AIMgr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to your data
• Any third-party conduct on the Service
• Any content obtained from the Service

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and verifying all AI-generated content before use.

11. Indemnification

You agree to indemnify and hold harmless AIMgr and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Iceland, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Iceland.
